Pro Kapital Group, Operating in Three Baltic Capitals, Launches Public Offering of Bonds with 8.3% Annual Interest Rate

On Tuesday, September 8, 2026 at 10.00, AS Pro Kapital Grupp (hereinafter also Pro Kapital) will launch a public offering of bonds aimed at retail and professional investors in Estonia, Latvia and Lithuania. The bonds have a maturity of two years, a fixed interest rate of 8.3% per annum and interest payments are made quarterly. The subscription period ends on September 18, 2026 at 15.30 (EEST). The base amount of the offering is 6 million euros, which the company may increase to up to 10 million euros in case of oversubscription.

The funds raised from the offering will be used for the full early redemption of Pro Kapital's 2020/2028 bonds traded on the Swedish market (ISIN SE0013801172) and for the termination of their listing on the Nasdaq Stockholm exchange in accordance with the terms of the bonds. According to Pro Kapital's CEO Andrus Laurits, listing bonds on the Stockholm exchange is more expensive and resource-intensive, while the company's core operations, clients and homebuyers are located in the Baltics. "Therefore, it makes sense to offer bonds in Estonia, Latvia and Lithuania and to list them for trading on the Nasdaq Tallinn stock exchange's basic bond list. Our operations have been very successful in all three main markets and we have a strong development portfolio for the coming years," added Laurits.

According to Edoardo Axel Preaton, a member of Pro Kapital Group's management board, the company wishes to offer both new investors and Pro Kapital homebuyers and existing investors the opportunity to benefit from the company's future development. "Over our 32 years of operation, we have shaped urban space in all three Baltic capitals and developed over 515,000 square meters of residential and commercial real estate. We can be proud of our strong market position in all three Baltic countries. Our diverse development portfolio, strong capitalization and profitability create a solid foundation for the company's future development. The bond offering allows us to optimize the group's financing structure, bring bonds from the Swedish market to our home market and expand the circle of Baltic investors," said Preaton.

According to Pro Kapital's half-year results published on August 14, 2026, the group's sales revenue for the first six months of 2026 reached 26.1 million euros and net profit 3.3 million euros. The group's equity accounted for 53.8% of total assets.

According to Silver Kalmus, head of LHV Bank's bonds department, the Baltic common capital market enables Pro Kapital to reach investors in all three Baltic countries with a single offering. "Pro Kapital operates in Tallinn, Riga and Vilnius and therefore it is entirely logical to offer the company's bonds to Baltic investors. Individuals should consider using an investment account when subscribing for bonds, which allows, subject to conditions being met, to defer income tax obligations," said Kalmus. 

Pro Kapital will submit an application for the bonds to be admitted to trading on the Nasdaq Tallinn stock exchange's Baltic bonds list. The organizer of the bond issue is AS LHV Pank.

The Financial Supervision Authority approved on September 7, 2026 the prospectus for the public offering of bonds by AS Pro Kapital Grupp. The prospectus together with the bond terms, final terms, prospectus summary and prospectus summary translations into Estonian, Latvian and Lithuanian are published on Pro Kapital's website https://www.prokapital.com/et/bond-issue2026/  and on the Financial Supervision Authority's website https://www.fi.ee.
